Baby Sleeps Safe will replace or provide a return of
purchase price less shipping costs within 30 days of receipt of the product for damaged products and for products that not in conformity with the original purchase order such as incorrect color. For purposes of this agreement, damage only includes torn fabric, zipper malfunctions, and Velcro malfunctions. Otherwise, all sales are final.

Pricing

We do not charge your credit card until your order is shipped. We will add sales tax for those orders delivered to specific states that require a sales tax charge. Each customer is solely responsible for all sales/use taxes applicable to orders shipped to all other locations.

Risk of Loss

All items purchased from Baby Sleeps Safe, Inc. are delivered to shipment carriers. The risk of loss and title for such items pass to you upon our delivery to the carrier.

WARRANTIES

Baby Sleeps Safe, Inc.’s warranties and representations with respect to the Baby Sleeps Safe (the “Product”) are as follows:

(A) Limited Material and Workmanship Warranty. Baby Sleeps Safe, Inc. warrants only to you, the original buyer, or if the Product is a gift from the original buyer to the recipient thereof, that the Product shall be free from defects in material and workmanship under standard usage for the normal purposes for which the Product is intended. Baby Sleeps Safe, Inc. shall have no obligation or liability to you for damage to the Product resulting from accident, negligence, alteration, abuse, misuse, or from the repair of the Product by any party other than Baby Sleeps Safe, Inc. Baby Sleeps Safe, Inc. shall have no obligation or liability to any third party, including anyone who buys the Product from you. Baby Sleeps Safe Inc.’s obligations pursuant to this limited material and workmanship warranty, and your exclusive remedy shall be limited solely to the replacement of the Product or refund the your purchase price as determined by Baby Sleeps Safe, Inc. in its sole and absolute discretion, of any Product which Baby Sleeps Safe, Inc. determines to possess defective material(s) or workmanship under standard usage within twelve (12) months after the date of shipment of the Product.

Baby Sleeps Safe, Inc.’s determination of whether the materials or workmanship in the Product are defective shall be made in writing and delivered to you within twenty (20) business days after its receipt of your claim under this limited material and workmanship warranty. If you and Baby Sleeps Safe, Inc. shall not agree as to whether your problem with the Product results from the Product being defective or from other factors which are beyond Baby Sleeps Safe, Inc.’s responsibility, the parties shall mutually appoint, within ten (10) business days after you receive notice of Baby Sleeps Safe, Inc.’s determination that the Product is not defective, an independent third party to make this determination. If the parties cannot agree on the selection of an independent third party, the American Arbitration Association shall appoint the independent third party to make this determination. This third party’s determination shall be binding upon the parties, and the cost of such determination shall be borne equally by you and Baby Sleeps Safe, Inc.

(B) Limited Wear Warranty. The manufacturer warrants only to you, the original buyer, or if the Product is a gift from the original buyer to the recipient thereof, that the Product will withstand reasonable wear from normal use for a period of twelve (12) months from the date of shipment of the Product. Baby Sleeps Safe, Inc.’s obligations, and your exclusive remedy pursuant to the “Warranties Paragraph” shall be limited solely to the replacement of Product or refund of your purchase price as determined by Baby Sleeps Safe, Inc. in its sole and absolute discretion, of the Product or a relevant part thereof. Baby Sleeps Safe, Inc. shall have no obligation or liability to you for damage to the Product resulting from accident, negligence, alteration, abuse, and misuse of the product by any party other than Baby Sleeps Safe, Inc.

If you request that the Product be replaced or a refund of your purchase price pursuant to the “Warranties Paragraph” Baby Sleeps Safe, Inc. shall determine whether this limited wear warranty is applicable, and if so, whether the Product failed as a result of reasonable wear from normal use. Baby Sleeps Safe, Inc.’s determination shall be made in writing and delivered to you within twenty (20) business days after its receipt of your request. If you and Baby Sleeps Safe, Inc. cannot agree on whether this limited wear warranty is applicable to, or covers, the requested change, the parties shall mutually appoint, within ten (10) business days after you receive notice of Baby Sleeps Safe, Inc.’s determination, an independent third party to make such determination. This third party’s determination shall be binding upon the parties, and the cost of such determination shall be borne equally by you and Baby Sleeps Safe, Inc.

DISCLAIMER OF UNSTATED WARRANTIES

THE LIMITED MATERIAL AND WORKMANSHIP WARRANTY AND LIMITED WEAR WARRANTY SET FORTH IN THE WARRANTIES PARAGRAPH ARE EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ALL OTHER OBLIGATIONS OR LIABILITIES ON BABY SLEEPS SAFE, INC.’S PART.

LIMITATIONS OF WARRANTIES

THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THE LIMITED MATERIAL AND WORKMANSHIP WARRANTY AND LIMITED WEAR WARRANTY SET FORTH IN THE WARRANTIES PARAGRAPH AND BABY SLEEPS SAFE, INC.
